My speculation is that Gazidis was aware we needed major changes in the club. He said this much anyway. However, he didn't necessarily want to push Wenger out. He came up with a plan about changing certain personnel in club and bringing in a Director of Football and maybe some other specialist people. He was hoping Wenger would be willing to be a part of new structure. But, Wenger denied this. He didn't want a authority figure above him and he refused to let go some of the yes men around him. So, we came to a stalemate.
If you're aware of our structure, you'd know that it's not exactly a traditional hierarchy. Gazidis and Wenger are sort of equals responsible for different areas. We know Wenger was consulted when the club was hiring Gazidis and from the get go, Gazidis didn't have much authority over Wenger.
This structure became a problem when Wenger denied Gazidis' plans of change. Since the turn of the year, things got worse and worse and at one point Gazidis realized it wasn't going to happen with Wenger. He couldn't just sack him but he probably made a case to Kroenke. In the meantime, Wenger was probably trying to make his own case to the owner. If this season wasn't a colossal failure, Wenger would've gotten an extension quite easily. But, things got quite ugly with the fans and now Kroenke is unsure about Wenger. They probably told Wenger that he has certain amount of time to change his mind about the restructure. But, Wenger being Wenger he's probably not going to give in. Seeing this, Gazidis started to make some enquiries about other managers and director of football candidates.
It think, at the moment, we're waiting on Kroenke's final decision. His CEO says "time for change", his manager says "I've got this". From a footballing perspective, the choice is simple, we bloody need change. But from a business point of view, Kroenke's trying to assess if it's actually a good business decision to remove Wenger. Can Wenger turn this around and get back to profitable top 4 club or is our decline going to get worse and it's going to start affecting our share value and pretty much our future as a club.
